Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Julien Tielemans, founder and operator of NeoKivo ("NeoKivo", "we", "us"). By creating an account or using the service, you agree to these Terms. If you accept on behalf of an organization, you confirm you are authorized to bind it.

NeoKivo is a hosted CRM for managing contacts, companies, deals and the work around them, including optional email capture, document storage, an AI assistant, and an API. We may add, change or remove features over time. We aim to give reasonable notice of changes that materially reduce core functionality.

You are responsible for your account, for the security of your login credentials and API keys, and for everything done under your account or within your workspace — including by teammates you invite. Tell us promptly at hello@neokivo.com if you suspect unauthorized access. You must provide accurate account information and be at least 16 years old.

You keep all rights to the data and content you put into NeoKivo. You grant us only the limited permission needed to host, process and display it so we can provide the service to you and the people you invite. You are responsible for having the right to store the data you upload, and for using it in line with the law (including data-protection law for any personal data about your contacts). How we handle your data is described in our Privacy Policy.

NeoKivo offers a 14-day free trial with no credit card required. During the trial you get full Pro functionality, capped at 5 seats. There is no free-forever tier: when the trial ends, the workspace becomes read-only until you subscribe.

A "seat" is one member with access to your workspace. Paid Pro pricing is tiered: a flat base price covers the first 5 seats, and each additional seat adds a per-seat amount, at the rates shown on our pricing page. Adding a member adds a seat; the resulting change is billed at your next renewal, and reducing seats takes effect at the next renewal (the current period is not refunded).

• Subscriptions are billed in advance through Stripe, monthly or annually, at the plan and seat count in effect. By subscribing you authorize recurring charges until you cancel.
• You can cancel anytime from your billing settings. Cancellation stops future renewals; it does not refund the current period. When a subscription ends or a payment fails, the workspace drops to read-only — your data stays, viewable and exportable — until you resubscribe.
• AI assistant credits are sold as one-time purchases, separate from your subscription. They are non-refundable, and they cannot be used while your subscription is inactive.
• If we change our prices, we will give you advance notice, and the new price will apply from your next renewal after the notice. Continuing to use a paid plan after that means you accept the new price.

You agree not to use NeoKivo to:

• break the law, or store or transmit data you have no right to store or transmit;
• send spam or unsolicited bulk email, or violate anti-spam or email-sending rules (including through a connected Gmail account);
• upload malware, or attempt to breach, overload, probe or disrupt the service or its infrastructure;
• reverse-engineer or resell the service, or use it to build a competing product;
• infringe others’ intellectual-property or privacy rights.

The AI assistant generates responses using a third-party model provider and can make mistakes. Its output may be inaccurate or incomplete; you are responsible for reviewing it before you rely on or act on it. Use of AI features is optional and consumes credits as described in your billing settings.

Features that connect to third parties — Stripe, Google/Gmail, your own webhook endpoints, API and MCP clients — are also subject to those third parties’ terms. You are responsible for the endpoints and applications you connect and for the credentials you issue. We are not responsible for third-party services outside our control.

You may stop using NeoKivo and delete your account at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or put the service or other customers at risk — where practical, with notice and a chance to fix the issue first.

On termination, you keep the right to export your data. We retain a cancelled or lapsed workspace in read-only form for at least 90 days, with prior notice, before permanent deletion, as described in the Privacy Policy — so an accidental lapse does not immediately destroy your data.

We work hard to keep NeoKivo available, secure and correct, but the service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that it will meet every requirement. Keep your own exports of data that is important to you.

To the fullest extent permitted by law, NeoKivo will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

We may update these Terms as the service evolves. When we make material changes we will update the date on this page and, where appropriate, notify account holders. Continuing to use NeoKivo after a change takes effect means you accept the updated Terms.

These Terms are governed by Japanese law, and any dispute relating to them or to the service will be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance, without prejudice to any mandatory consumer-protection rights you may have where you live.
